Terms of Use – Vynqe Circle LLP

1. Introduction

Welcome to Vynqe Circle LLP (“Vynqe,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and engagement with our platforms, products, and services across online, offline, and O2O (Online-to-Offline) environments.

Vynqe Circle LLP operates as a market research and analytics-based experience orchestrator, building and managing human-centric, data-driven engagement ecosystems for clients and partners.

These entities function as internal systems, digital frameworks, or engagement brands owned, operated, or represented by Vynqe Circle LLP under unified governance. By engaging with any of these, you agree to these Terms, our Privacy Policy, and our Refund & Performance Policy.

2. Scope of Services

Vynqe provides insight-led, analytics-powered experience orchestration across digital, offline, and hybrid ecosystems.

Digital & Online Services: Market research, CRM integrations, behavioral analytics, and ABM intelligence via VIR and Loopix.
Offline Services: On-ground activations, in-store intelligence audits, and trust node building via TrustLogic and Arkive.
O2O Services: Integrated experiences blending real-world engagement and digital measurement via REO and Project Yuko.
Advisory & Strategy: Market insight programs, KPI modeling, and consulting.

Each service is governed by a mutually accepted Statement of Work (SoW) or client agreement.

3. Acceptance of Terms

You are legally authorized to act on behalf of your organization.
You understand and accept these Terms in full.
You consent to lawful and transparent data usage as per our Privacy Policy and applicable laws.

4. Payments, Invoicing & Performance Policy

4.1 Payment Terms

Payments via authorized RBI-compliant gateways (Razorpay, PayU, etc.).
Securely processed under PCI-DSS guidelines.
Work begins post-payment confirmation.

4.2 Invoicing

Invoices raised under Vynqe Circle LLP with GST compliance.
Electronic invoices are valid and compliant.

4.3 Refund & Performance Policy (KPI-Driven)

We operate on a performance-first model. Refunds apply only to KPI-based failures as per contract.

Claims must be raised within 15 business days post-delivery.
Approved claims resolved within 10 business days.
Refunds are via original payment or credit adjustment.

5. User Obligations

Provide lawful and consented data.
Use deliverables for authorized purposes only.
Respect Vynqe’s IP and data confidentiality.
No resale, reuse, or reverse-engineering.

6. Intellectual Property Rights

All technologies and engagement frameworks (VIR, Loopix, REO, Project Yuko, TrustLogic, Arkive) are proprietary to Vynqe Circle LLP. Clients receive a limited, non-transferable right to use derived insights internally.

7. Data Privacy & Compliance

We comply with the DPDPA (2023), IT Act (2000), and GDPR. All data is anonymized, encrypted, and purpose-specific. We never store raw PII permanently.

8. Campaign Execution & Delivery

Execution depends on data readiness and third-party dependencies.
All reports and logs are transparently shared.
O2O activations follow operational safety norms.

9. Limitation of Liability

Vynqe is not liable for indirect or consequential losses, external disruptions, or acts of third-party collaborators. Total liability is limited to the total project payment.

10. Anti-Misuse & Fair Use Policy

Fraudulent reporting, fabricated claims, or redistribution of proprietary data will result in immediate suspension or termination of services.

11. Governing Law & Jurisdiction

Governed by Indian law under the IT Act (2000) and DPDPA (2023). All disputes fall under the exclusive jurisdiction of Mumbai, India.
